RegEd CEAuthoritySM USER LICENSE AGREEMENT

PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS SITE. CEAuthority.comSM is maintained and published by  RegEd, Inc. ("RegEd", "we" or "us"). Access and use of CEAuthority.comSM ("CEAuthority.com" or "the Site") is subject to compliance by you (referred to as "you" or "user") with the terms and conditions set forth herein. This document should be examined carefully before accessing or using CEAuthority.comSM .

By accessing or using CEAuthority.comSM , you agree to be legally bound by the terms and conditions set forth herein, and you may not access or use the Site if you do not agree to be so bound. The terms and conditions set forth herein may be modified, at the sole discretion of RegEd, at anytime, and any such modification shall be effective immediately upon the posting of the modified terms and conditions. Through your continued access and use of CEAuthority.com you agree to periodically review these terms and conditions and to be bound by such future modification. Continued use of the Site following any such change means you accept and will abide by the change.

I. License.

  • A. Under this agreement between you and RegEd, you may use the RegEd CEAuthoritySM services, including the Site and all course and other content published on the Site (collectively, the "Services") so long as you agree to be bound to the terms and conditions of this Agreement and any other terms of use published on the Site. RegEd hereby grants you a limited, nonexclusive right and license to use the Services on any computer you control. You are only eligible to use the Services available through CEAuthority.com to which you have subscribed or for which you have registered.

  • B. You acknowledge that all content on the Site, including the courses, information and any associated materials (collectively, the "Materials") include valuable and proprietary property of RegEd or third parties who have contributed to RegEd CEAuthority.com. The Materials are licensed by RegEd to you solely for your personal use. Consistent with the foregoing limitation, you may copy, print, and use portions of the Materials in accordance with these Terms of Use, provided that all applicable copyright and other notices are preserved. YOU MAY NOT SUBLICENSE, TRANSFER OR OTHERWISE MAKE AVAILABLE ANY CONTENT TO ANY THIRD PARTY FOR COMMERCIAL PURPOSES OR FINANCIAL GAIN OR USE THE CONTENT IN ANY OTHER MEDIA OR IN ANY LOCATION. YOU MAY NOT ALTER OR MODIFY THE CONTENT IN ANY WAY.

II. User ID and Password. You are solely responsible to maintain as personal and confidential the assigned unique USER IDs and activating passwords and to prevent their unauthorized use. You are prohibited from transferring or sharing the RegEd-assigned unique USER IDs and from revealing the activating passwords to any other person. Any violation of the foregoing may result in an immediate termination of your access rights to the Services as well as liability to RegEd for all damages resulting from such breach. You (and not RegEd) shall bear the entire cost of all necessary servicing, repair or correction.

III. Charges and Taxes. You are responsible for any charges for the Services incurred through use of any User ID assigned to you and any password you adopt, unless such charges result from RegEd's error. In addition, you shall be solely liable for any state or local sales, use or other taxes of a similar nature, if any, that may be due on account of your use of the Site or for RegEd Services. All charges must be paid by use of a valid credit card account and shall be payable in accordance with  RegEd's standard order, billing, and collection policies. Any credit reporting or issuance of certifications you request and that we perform shall be billed in accordance with RegEd’s then-current charge for such specific order(s), and you also agree to pay any associated fees for such services charged by a state department of insurance or professional designation board, or their authorized agents, that will be separately charged.

IV. Termination. You may terminate the license granted under this Agreement at any time by sending written notification to RegEd and by ceasing to use the Site. These terms and conditions may also be terminated immediately, without notice from RegEd if, in the sole discretion of RegEd, you fail to comply with any term or condition posted on the Site or any provision of a term or condition of this Agreement. Upon termination by RegEd, you must destroy any copy of courses or other materials obtained from this Site, except records of successful completion and certificates of completion, whether accepted under the terms and conditions hereof or otherwise. Upon termination of this Agreement, you shall no longer be permitted to use the Site. Termination for any reason shall not affect RegEd's entitlement to any undisputed sums due for  RegEd Services performed prior to such termination.

V. Title/Copyright. The Site and the Materials are the valuable, confidential, copyrighted and trade secret property of RegEd.  RegEd owns all right, title and interest in and to the Site and the Materials, including without limitation, all current and future enhancements, modifications, revisions, new releases and updates thereof and any derivative works based thereon and all documentation thereto, and all copyrights, trade secrets and patents, if any, therein.

VI. Cookies. Cookies are small text files, which are stored on the hard drive of a user's computer. The use of cookies is an industry standard. RegEd employs cookies to recognize you and your access privileges for certain locations on the Site as well as to track site usage. You can set your browser to refuse all cookies or to indicate when a cookie is being sent. If you do not accept cookies from RegEd, you cannot access some areas of the Site, and you may not be able to complete any courses. RegEd may, in its sole discretion, perform statistical analysis of the collective characteristics and behavior of users to measure interests in the Site and in the Materials (for product development and other business development purposes).

VII. Your Other Responsibilites

  • A. You understand and agree that all decisions, reports, requests for Services, or other results prepared by or on your behalf while using the Site are made solely by you and that use of the Site does not relieve you of responsibility for the content, accuracy, and review thereof.

  • B. RegEd takes no responsibility for the accuracy of the information in the Materials, the Services or on the Site related to the continuing education requirements in any jurisdiction or of any professional designation board. Such information is provided only for your convenience. Such requirements information is subject to change without notice, and you should consult the state departments of insurance or professional designation boards who license you for up-to-date information.

  • C.  RegEd makes no representation that the Materials, the Services or the Site are appropriate or authorized for use in all countries, states, provinces, counties, or any other jurisdiction. If you choose to access the Site, you do so on your own initiative and risk and you are responsible for compliance with all applicable laws.

  • D. If you are located outside of the United States, the personal data you provide to us will be transferred to the United States. Whenever you submit any personal data to us, you consent to this transfer.

  • E. When you complete a course and request certification of your course completion, you authorize and give your consent to RegEd to provide your personal data to third parties to whom your course completion is to be reported, such as state departments of insurance and their authorized agents, professional designation boards, and, in certain instances, to third-party clearinghouses, such as ClearCert, for purposes of conveying such information to insurance carriers with whom you may be appointed or seek appointment.

VIII. Disclaimer of Warranties.

  • A. REGED USES REASONABLE CARE IN PUBLISHING MATERIALS AND PROVIDING INFORMATION. HOWEVER, REGED DOES NOT WARRANTY THE ACCURACY OR COMPLETENESS OF THE MATERIALS OR OF ANY INFORMATION. ALL MATERIALS ON THIS SITE ARE PROVIDED "AS IS" WITH NO WARRANTY, EXPRESSED OR IMPLIED, AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED. REGED ASSUMES NO LIABILITY FOR ANY LOSS, DAMAGE OR EXPENSE FROM ERRORS OR OMISSIONS IN THE MATERIALS, THE SITE OR SERVICES, WHETHER ARISING IN CONTRACT, TORT OR OTHERWISE.

  • B. REGED MAKES NO WARRANTIES REGARDING the timeliness of the information presented in the Materials, on the Site, or in our database. The primary source materials included in the Materials are included only for the reference of the user. REGED does not warrant that any of the Materials, or any information obtained on or through the Site, is up-to-date or that any law or regulation referenced ON THE SITE, in the Materials or included in our database is the law at the current moment.

  • C. REGED DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER(S) THAT MAKES THE REGED SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER COMPONENTS THAT MAY HARM YOUR COMPUTER.

  • D. THE COURSE COMPLETION CREDIT TRACKING SECTION OF CEAuthority.COM CONTAINS SOME INFORMATION YOU HAVE PROVIDED TO REGED. WHILE  REGED WILL MAINTAIN A RECORD OF ANY INFORMATION THAT YOU PROVIDE, REGED IS NOT RESPONSIBLE FOR CONFIRMING THE ACCURACY OF THE INFORMATION THAT YOU PROVIDE, SUCH AS WHETHER AN EXTERNAL COURSE YOU ATTENDED WAS ACTUALLY ACCREDITED FOR CONTINUING EDUCATION IN ANY JURISDICTION OR WHETHER YOU IN FACT EARNED THOSE CREDITS. ACCORDINGLY, REGED IS NOT LIABLE FOR ANY MISINFORMATION, OMISSION OR MISSTATEMENT ARISING FROM THE CREDITS RECORDED AND MAINTAINED IN THE CREDIT TRACKING SECTION OF THE SITE.

  • E. REGED DOES NOT IN ANY WAY OPERATE, CONTROL OR ENDORSE ANY PRODUCTS, SERVICES OR INFORMATION APPEARING ON THE SITE. YOU UNDERSTAND AND AGREE THAT REGED CANNOT AND DOES NOT WARRANT OR GUARANTEE THAT FILES, SOFTWARE OR INFORMATION OF ANY KIND OR FROM ANY SOURCE AVAILABLE FOR DOWNLOADING THROUGH REGED WILL BE FREE OF INFECTION, VIRUSES, WORMS, TROJAN HORSES OR OTHER CODE OR DEFECTS THAT MAY MANIFEST HARMFUL AND DESTRUCTIVE PROPERTIES.

  • F. REGED HEREBY DISCLAIMS ALL OTHER WARRANTIES, ORAL OR WRITTEN, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND THE WARRANTY OF NON-INFRINGEMENT. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY.

IX. LIMITATION OF LIABILITY.

  • A. REGED IS NOT AN INSURER WITH RESPECT TO YOUR USE OF THE SITE, THE MATERIALS OR THE SERVICES. UNDER NO CIRCUMSTANCES SHALL REGED BE LIABLE TO YOU AND/OR TO ANY THIRD PARTY, REGARDLESS OF THE FORM OF ACTION, ARISING FROM YOUR USE OF THE SITE, THE SERVICES OR THE MATERIALS, OR FOR ANY ACT OR OMISSION OF REGED FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING LOST OF DATA, LOSS OF GOODWILL, LOST PROFITS OR OPPORTUNITIES, EVEN IF REGED OR A REGED AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

  • B. REGED'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR DAMAGES DUE TO PERFORMANCE OR NON-PERFORMANCE OF REGED, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT OR IN TORT, SHALL BE LIMITED TO EITHER (1) REGED'S RE-PERFORMANCE OF THE REGED SERVICE INVOLVED, OR (2) REFUND OF THE CHARGE SPECIFICALLY RELATED TO SUCH REGED SERVICE.

X. General.

  • A. Performance of either party shall be excused during a period of delay or interruption due to causes beyond either's reasonable control.

  • B. This Agreement shall be governed by the laws of the State of New York, without reference to provisions relating to conflicts of laws. The rights and obligations under this Agreement shall not be governed by the United Nations Convention on Contracts or the International Sale of Goods.

  • C. No action arising under this Agreement may be brought more than two years after the cause of action has accrued.

  • D. Should any provision of this Agreement be held to be void, invalid, unenforceable or illegal by a court of competent jurisdiction, the validity and enforceability of the remaining provisions of this Agreement shall not be affected thereby. Failure of either party to enforce any provision of this Agreement shall not constitute nor be construed as a waiver of such provision nor of the right to enforce such provision.

XI. YOU HEREBY ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS STATED HEREIN.
